These Terms and Conditions (“Terms”) govern the use of services provided by Service Growth

Partners (“Company,” “we,” “us,” or “our”). By purchasing, accessing, or using our services, you

(“Client,” “you,” or “your”) agree to be bound by these Terms.

1. Services Provided

Service Growth Partners is a digital marketing agency serving trade and home-service

industries, including but not limited to:

● Search Engine Optimization (SEO)

● Google Business Profile (GBP) optimization and management

● Google Ads (including Local Services Ads and AdWords)

● Meta Ads (Facebook & Instagram)

● Lead generation, funnels, and marketing automation

Specific deliverables, timelines, and pricing will be outlined in a separate proposal, agreement,

or invoice (“Scope of Work”).

2. Scope of Work & No Guaranteed Results

You acknowledge and agree that:

● Digital marketing results depend on numerous factors beyond our control, including but

not limited to:

○ Google, Meta, and other platform algorithms

○ Market competition

○ Consumer demand

○ Ad budgets and targeting decisions

● We do not own, operate, or control Google, Meta, or any third-party advertising

platforms.

● Rankings, traffic, leads, and revenue are not guaranteed.

● Past performance is not indicative of future results.

By engaging our services, you understand that marketing is an ongoing effort, not a guaranteed

outcome.

3. Client Responsibilities

To perform our services effectively, you agree to:

● Provide timely access to required accounts, including but not limited to:

○ Google Business Profile

○ Google Ads

○ Meta Ads

○ Website, hosting, or CRM systems (as applicable)

● Ensure all business information provided is:

○ Accurate

○ Lawful

○ Up-to-date (business name, address, phone number, licensing, service areas,

etc.)

● Respond to reasonable requests for approvals, content, or clarification in a timely

manner.

We are not responsible for delays or performance issues caused by missing access, inaccurate

information, or lack of client cooperation.

4. Payment Terms & Billing

● Services are billed on a monthly subscription basis, unless otherwise stated in writing.

● Payments are due in advance of each billing cycle.

● Late or failed payments may result in paused services until payment is resolved.

● Cancellation requires a minimum of thirty (30) days’ written notice.

● Fees already paid are non-refundable, including setup fees or partial months of service.

5. A2P 10DLC, SMS & Messaging Compliance

By providing a phone number to Service Growth Partners, you expressly consent and opt-in to

receive SMS and/or MMS messages, which may include:

● Marketing messages

● Appointment reminders

● Service updates

● Support or account-related communications

Key SMS Terms:

● Message frequency may vary

● Message and data rates may apply

● You may opt-out at any time by replying STOP

● For help, reply HELP

Consent to receive SMS messages is not a condition of purchase. You are responsible for

ensuring that phone numbers you provide belong to you or that you have proper authorization to

use them

6. Privacy & Data Usage

● We do not sell, rent, or trade lead data to third parties.

● Client and lead data is used solely for:

○ Providing contracted services

○ Campaign optimization

○ Performance reporting

● We implement reasonable safeguards to protect data but cannot guarantee absolute

security

7. Third-Party Platforms & Tools

Our services may rely on third-party platforms, tools, or software (e.g., Google, Meta, CRM

systems).

● We are not responsible for outages, policy changes, suspensions, or account actions

taken by third-party providers.

● Platform fees, ad spend, or usage fees charged by third parties are separate from our

service fees unless explicitly stated.

8. Limitation of Liability

To the maximum extent permitted by law:

● Service Growth Partners shall not be liable for indirect, incidental, special,

consequential, or punitive damages.

● Our total liability for any claim, whether in contract, tort, or otherwise, shall be strictly

limited to the amount paid by the Client for services in the thirty (30) days preceding the claim.

You agree that this limitation reflects a fair allocation of risk.

9. Indemnification

You agree to indemnify and hold harmless Service Growth Partners from any claims, damages,

or expenses arising from:

● False or misleading information provided by you

● Violations of advertising laws, licensing requirements, or platform policies

● Your business operations, products, or services

10. Termination

We reserve the right to suspend or terminate services if:

● Payments are not made

● These Terms are violated

● Continued service poses legal, reputational, or compliance risks

Termination does not waive payment obligations already incurred.

11. Governing Law

These Terms shall be governed and interpreted under the laws of the State of Tennessee,

without regard to conflict-of-law principles.

12. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes are

posted constitutes acceptance of the revised Terms
